Terms of Service

These Terms of Service govern your access to and use of GizAI, including Giz Computer, Drive, Chat, Studio, Worlds, Characters, Social, related websites, APIs, applications, hosted runtimes, and other services provided by Giz Inc. ("Giz", "we", "us", or "our").
GizAI is offered as one integrated service across Giz-operated websites, apps, APIs, and subdomains under the giz.ai domain. Your GizAI account may provide access across those service surfaces, and the same core service terms apply across them unless a specific product or feature is expressly stated to have additional terms.
By creating an account, accessing the service, or using any GizAI product, you agree to these Terms. If you use GizAI on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
These Terms govern use of the service. Data handling and privacy disclosures are covered by our Privacy Policy.
1. Eligibility and Accounts
- You must be legally able to enter into a binding agreement to use GizAI.
- You must be at least 18 years old, or the age of legal majority where you live, to purchase paid services or use hosted compute resources in your own name.
- You are responsible for maintaining the security of your account credentials and for all activity under your account.
- You must provide accurate account and billing information and keep it current.
- You may not share accounts in a way that circumvents seat, user, plan, or pricing limits.
- You may not use GizAI if you are subject to sanctions, export restrictions, or other legal prohibitions that would make use unlawful.
2. Services and Service Changes
GizAI is a multi-product platform that may include cloud computers, storage, AI generation, collaboration, publishing, APIs, and other hosted functionality. Specific features, limits, regions, runtimes, and availability may vary by plan, geography, technical constraints, or product maturity.
Different GizAI surfaces may present different interfaces, domains, or product names, but they may still operate as parts of the same underlying service relationship, account system, billing relationship, and support relationship with Giz.
- We may add, modify, replace, or remove features, limits, integrations, or supported environments.
- We may introduce preview, beta, or experimental features that have additional restrictions.
- We may impose or update technical, safety, or abuse-prevention limits to protect the platform and other users.
We will use commercially reasonable efforts to avoid unnecessary disruption, but GizAI is a continuously evolving service and not every feature is guaranteed to remain unchanged.
3. Third-Party Models, Apps, and App Store
GizAI may surface, integrate with, launch, proxy, install, or otherwise make available third-party AI models, hosted services, open-source packages, desktop applications, runtimes, websites, APIs, or other software, including through the GizAI App Store.
- Third-party software, models, and services may be governed by separate license terms, acceptable-use policies, attribution requirements, privacy policies, export restrictions, and support commitments imposed by their providers or licensors.
- You are responsible for reviewing and complying with those third-party terms before using, installing, launching, publishing, or distributing third-party software or output.
- You may not use AI models, App Store apps, direct software installs, hosted runtimes, uploaded assets, generated output, or any other GizAI-supported workflow to infringe, misappropriate, violate, or facilitate violation of any third party's copyright, trademark, patent, trade secret, license rights, publicity rights, privacy rights, or other proprietary or legal rights.
- The GizAI App Store is a discovery and deployment surface, not a transfer of ownership, relicensing, or legal certification by Giz.
- Giz does not guarantee that third-party apps or models are error-free, secure, non-infringing, fit for a particular purpose, continuously available, or appropriate for any regulated, commercial, or production use.
- We may remove, disable, delist, block, or restrict third-party apps, models, or integrations at any time for legal, policy, security, operational, provider, or licensing reasons.
- If you install or run a third-party app through GizAI, you remain responsible for any content it processes, data it transmits, licenses it requires, and external services it depends on.
Nothing in these Terms grants you intellectual property rights in third-party software, models, or services beyond what is granted directly by their applicable licensors.
4. Acceptable Use
You may not use GizAI to:
- Break the law, violate the rights of others, or facilitate unlawful activity.
- Distribute malware, run phishing infrastructure, launch denial-of-service attacks, scan or exploit third-party systems without authorization, or perform other abusive network operations.
- Interfere with the stability, integrity, performance, or security of GizAI or its infrastructure.
- Bypass quotas, pricing, technical controls, account restrictions, or safety systems.
- Upload, store, process, or publish content that you do not have the legal right to use.
- Use GizAI in ways that create excessive operational risk, legal exposure, or harm to other customers or service providers.
We may investigate suspected abuse and take protective action immediately, including content removal, feature restriction, suspension, rate limiting, or termination.
5. Customer Content and Responsibility
You retain ownership of content you submit to GizAI, including files, prompts, documents, code, media, site content, and data stored or processed in your account ("Customer Content").
You grant Giz a limited, non-exclusive right to host, copy, transmit, process, transform, index, display, and otherwise use Customer Content only as necessary to provide, secure, maintain, and improve GizAI, enforce these Terms, comply with law, and respond to support requests you authorize.
- You are responsible for the legality, accuracy, integrity, and rights status of Customer Content.
- You are responsible for your use of hosted computers, installed apps, uploaded files, published sites, exposed services, and generated artifacts.
- You are responsible for maintaining any backups or exports you require, unless a specific backup commitment is expressly stated in writing.
Data handling and privacy practices are governed by our Privacy Policy.
6. AI Features and Generated Output
GizAI may provide AI-assisted tools for chat, generation, editing, automation, search, classification, or recommendation. AI systems can be inaccurate, incomplete, biased, or unsuitable for a particular use.
- You are responsible for reviewing and validating generated output before relying on it.
- You must not treat AI output as professional legal, medical, tax, investment, or compliance advice.
- You remain responsible for downstream use, publication, distribution, or execution of AI-generated output.
- Model availability and behavior may change over time, including due to provider, policy, or infrastructure changes.
7. Billing, Credits, and Taxes
- Paid plans, usage-based features, compute resources, or credits may require a valid payment method.
- You authorize us and our payment processor to charge applicable fees, renewals, overages, taxes, and other amounts due under your plan.
- Fees are generally billed in advance for subscriptions and as incurred for metered or usage-based services, unless stated otherwise.
- Credits, promotional balances, and trial benefits have no cash value unless expressly stated and may expire or be revoked if obtained or used improperly.
- You are responsible for all applicable taxes, duties, levies, or similar governmental charges, other than taxes on Giz's net income.
If payment fails or your account becomes delinquent, we may suspend paid features, pause hosted resources, restrict publishing, or terminate the affected services.
8. Refunds and Cancellations
- You may cancel a paid service at any time, either effective immediately or at the end of the current billing cycle where that option is available.
- Cancellation stops future renewal but does not entitle you to a refund for the current billing period or unused time.
- Except where required by law, all fees are non-refundable, including prepaid subscription fees, setup fees, metered usage, overages, credits consumed, partial periods, and charges for services that were available but not used.
- We do not provide prorated refunds for deleting computers, stopping instances, downgrading plans, removing apps, or ceasing use before the end of a billing period.
- We may, in our discretion, issue credits or refunds for duplicate charges, payment processor errors, or clear billing mistakes, but we are not obligated to do so.
Free tiers, trials, promotional access, credits, and beta access may be changed or withdrawn at any time.
9. Suspension and Termination
We may suspend or terminate access immediately if reasonably necessary to:
- Protect the platform, infrastructure, other customers, or third parties.
- Investigate suspected abuse, fraud, illegal activity, or security incidents.
- Comply with law, legal process, or requests from competent authorities.
- Enforce these Terms or plan-specific restrictions.
You remain responsible for charges incurred before suspension or termination. We may delete or disable access to data, machines, sites, files, apps, and related materials after termination or prolonged non-payment, subject to law and any retention commitments we have expressly made.
10. Availability, Maintenance, and Backups
- GizAI is provided on an evolving, internet-based infrastructure and may be unavailable from time to time.
- We may perform maintenance, deploy fixes, upgrade systems, migrate regions, or restrict access for security or operational reasons.
- Hosted computers, storage, logs, snapshots, app runtimes, published endpoints, and AI services may be affected by outages, region events, dependency failures, or provider changes.
- Unless we expressly commit otherwise in writing, GizAI is not a guaranteed backup or archival service.
You should maintain your own backup, export, business continuity, and recovery procedures if your use case requires them.
11. Intellectual Property
GizAI, including its software, interfaces, branding, documentation, and service materials, is owned by Giz or its licensors and is protected by intellectual property laws.
- We grant you a limited, non-exclusive, non-transferable, revocable right to use GizAI in accordance with these Terms.
- You may not copy, resell, sublicense, reverse engineer, or create derivative services from GizAI except as permitted by law or explicit written permission.
- Feedback you provide may be used by us without restriction or compensation.
12. Disclaimers
GizAI is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, quiet enjoyment, and error-free operation.
We do not warrant that GizAI will be uninterrupted, secure, lossless, always available in a particular region, or suitable for every workflow, environment, or compliance requirement.
13. Limitation of Liability
To the maximum extent permitted by law, Giz and its affiliates, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, business interruption, or replacement costs arising out of or related to GizAI.
To the maximum extent permitted by law, our aggregate liability for all claims arising out of or related to GizAI or these Terms will not exceed the greater of:
- the amount you paid to Giz for the affected service during the 12 months before the event giving rise to the claim, or
- USD $100.
14. Indemnity
You will defend, indemnify, and hold harmless Giz and its affiliates, officers, employees, contractors, and suppliers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of GizAI.
- Your Customer Content.
- Your violation of these Terms or applicable law.
- Your violation of the rights of another person or entity.
15. General Legal Terms
- These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
- Any dispute arising out of or relating to these Terms or GizAI will be resolved in the state or federal courts located in Delaware, and you consent to those courts' jurisdiction and venue.
- We may update these Terms from time to time by posting the revised version on GizAI or otherwise making it available through the service. The updated Terms become effective when posted, unless a later effective date is stated. Your continued use of GizAI after the effective date means you accept the updated Terms.
- If any provision is held unenforceable, the remaining provisions remain in effect.
- Our failure to enforce a provision is not a waiver.
- You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
- These Terms, together with any applicable order forms, plan terms, and the Privacy Policy, form the entire agreement between you and Giz regarding GizAI.
